Tagly Terms of Monetization

  • What this is. These terms govern earning money through Tagly by sharing Instagram content about participating businesses. You accept them each time you create a Share.
  • What you can monetize. The content formats offered in the app; currently, Instagram Stories that are live on your connected account. Each piece of content can be monetized once, ever.
  • The Story must show the business. Your Story must visibly reference the business you select (its name, tag, or handle). An automated check enforces this and Share creation is refused when it fails.
  • Review first. Every Share is reviewed by the Tagly team before the business sees it and before it can be paid. Rejected Shares earn nothing and affect your internal quality rating.
  • Estimates are not promises. You see an estimate up front; the real reward is calculated from your Story's actual statistics about a day after posting, and can be higher, lower, or zero.
  • Keep it up. If the Story disappears early, your Instagram disconnects, or its statistics cannot be collected, the Share earns nothing.
  • Getting paid. Rewards go to your Tagly balance and are withdrawable to your own Stripe account (minimum USD 1). Taxes are your responsibility. No employment relationship is created.

1. Introduction and Acceptance

These Terms of Monetization ("Monetization Terms") govern participation in the Tagly monetization program (the "Monetization Program"), operated by Flaer, Inc., a Delaware C-Corporation ("Tagly," "we," "us"). Capitalized terms have the meanings given in the Terms of Service.

You accept these Monetization Terms each time you create a Share, by expressly confirming acceptance in the app before the Share is created. If you do not agree, do not create Shares; you may still use the rest of the app.

These Monetization Terms supplement the Terms of Service and are incorporated into them. In case of conflict, these Monetization Terms control solely for monetization, rewards, payouts, forfeiture, and eligibility.

Participation is optional. The Monetization Program may be modified, suspended, or discontinued as described in Section 11; changes to these Monetization Terms are made as described in Section 17. Participation creates no employment, contractor, partnership, agency, or joint-venture relationship; rewards are incentive-based promotional compensation, not wages.

2. Eligibility

You may create a Share only if, at the time of creation:

  • your Tagly account is active and in good standing (not suspended or banned),
  • your Instagram account is connected with valid permissions,
  • the content is Eligible Content: a format offered for monetization in the app — currently an Instagram Story — that is currently live on your connected Instagram account and was posted by you personally (not uploaded, reposted, or managed by a third party on your behalf),
  • the content has never been monetized before (each piece of content can be monetized once, ever; this is enforced by a permanent duplicate-prevention registry that survives even account deletion),
  • the selected business is participating in the Monetization Program and has available funding (sufficient budget, an active pay-as-you-go card, or platform sponsorship), and
  • you own or control all rights needed to monetize the content.

Business reference requirement. Your content must genuinely promote the business you select and must visibly reference it — for example its name, location tag, Instagram handle, or clearly legible text. An automated check verifies this at creation, and Share creation is refused when the reference cannot be confirmed. You additionally remain responsible for the content genuinely promoting the business and for including any paid-promotion disclosures Instagram or the law requires.

Eligibility may also vary by business location, category, account characteristics, and operational or regulatory considerations, and is assessed per Share; it must also be maintained until the reward is finalized (Section 8). Meeting the eligibility rules does not guarantee Share creation, insights, or any reward. Beyond the automated and manual checks described in these Monetization Terms, Tagly does not independently verify your representations (including ownership, rights, and legal compliance) and relies on them; no check or review transfers responsibility for your content to Tagly.

3. Creating a Share

3.1 The Flow

A Share is created only after you select a live Story in the app, select the business it promotes, review the Estimated Reward, expressly accept these Monetization Terms, and confirm creation — and after Tagly's systems successfully record the Share. Loading screens or previews do not constitute creation; if any step fails, no Share exists. Creation can fail due to system errors, insufficient business funding, an invalid or expired Instagram connection, a failed business-reference check, or third-party failures, and Tagly is not responsible for Shares that fail to be created.

3.2 No Modification or Deletion

Once created, a Share cannot be edited, reassigned to a different business, cancelled, or deleted by you. If the content stops meeting the requirements (Section 8), the Share becomes unrewarded.

3.3 Limits

Tagly may limit how many Shares you can create and how often, apply account-level rules, and prevent Share creation for operational, security, or compliance reasons, without prior notice. Posting frequency also affects reward calculations (Section 6).

4. Review and Approval

Every Share is reviewed by the Tagly team before it becomes visible to the business and before it can be funded or paid:

  • Approval makes the Share visible to the business (as an anonymous item) and reserves the business's funds (or schedules a pay-as-you-go charge).
  • Rejection means the Share receives no reward. Rejections lower your internal quality rating (Section 9.3), and the reason is shown with the Share in the app.
  • Payment additionally waits at least 24 hours from Share creation, serving as a review and cooling-off window.

Tagly aims to review promptly but is not required to complete any review within a specific timeframe. Review is performed for platform integrity and creates no duty of care or fiduciary obligation toward Users or Advertisers; review decisions are made at Tagly's reasonable discretion, and Section 19 provides EEA Users with reasons and human-review rights.

5. Visibility and Insights

5.1 Visibility Requirement

Your content must remain publicly accessible on Instagram for its natural visibility window (for Stories, approximately 24 hours from posting). Content that is deleted, archived, hidden, restricted, or otherwise made inaccessible before its statistics are collected results in an unrewarded Share, regardless of the reason.

5.2 Insight Collection

Rewards depend entirely on insights retrieved from Instagram. Tagly collects insights once per Share, automatically, approximately 24 hours after the content was posted, and will retry a limited number of times (currently up to five attempts) if collection fails. If insights cannot be collected after the retries, the Share is unrewarded. Only insights retrieved directly from Instagram's official API count: no screenshots, manual submissions, or third-party analytics are accepted, and partial or incomplete insights do not produce partial rewards.

5.3 Platform Dependency

Insight availability depends on Instagram. Outages, rate limits, policy changes, or suppressed metrics can make insights unavailable, and Tagly bears no responsibility for such failures.

6. Estimated Rewards

Before you create a Share, the app shows an Estimated Reward: an informational, non-binding preview, not earned income or a promise. Where the business's remaining budget limits what can be paid, the estimate is shown as an "up to" amount.

Estimates are produced by a proprietary, dynamic algorithm that may consider, among other factors: your audience size, composition, and geographic distribution; historical performance; content format; your interests and account characteristics; your posting frequency; your internal quality rating; and business-specific factors including available funding. The algorithm, its inputs, and its weights may change at any time without notice, and no partial, proportional, or minimum payout arises from an estimate. The Final Reward can be higher, lower, or zero.

7. Final Rewards

7.1 Calculation

The Final Reward is calculated only after the visibility window has elapsed and insights have been successfully collected. The calculation uses a recorded snapshot of the collected insights, your audience data, and the applicable multipliers and parameters, each Share being recorded with the algorithm version used.

7.2 Finality

Once calculated, a Final Reward is final: it is not recalculated or adjusted based on later changes to insights, algorithms, or your account. A Final Reward of zero, or no Final Reward because insights were unavailable or eligibility failed, is a defined outcome of the program, not an error or breach.

7.3 No Entitlement Before Finalization

No entitlement to compensation exists until a Final Reward is calculated and credited. Pending, estimated, or expected rewards are not earned income, and Tagly has no payment obligation before finalization.

8. Unrewarded Shares and Forfeiture

8.1 When a Share Earns Nothing

A Share receives no reward if, before its reward is finalized:

  • the content is deleted, archived, hidden, restricted, or otherwise becomes inaccessible before insight collection,
  • insights cannot be collected from Instagram after the standard retries,
  • you disconnect your Instagram account, or your Instagram token expires or becomes invalid,
  • you request deletion of your Instagram data,
  • you delete your Tagly account,
  • the Share is rejected in review (Section 4), or a business report is upheld (Section 9),
  • reward settlement permanently fails for technical reasons, or
  • enforcement action is taken for fraud or abuse (Section 10), or
  • any other eligibility requirement of Section 2 ceases to be met before the reward is finalized (for example, the business stops participating or your account is suspended).

Where a Share becomes unrewarded, any reserved business funds are released, and the app shows the Share's status with a reason where one can be shown. Tagly is not obligated to provide individual notifications beyond this.

8.2 Effect of Account or Data Deletion

Deleting your account or your Instagram data permanently forfeits all Shares that have not yet received a Final Reward. Rewards already credited to your balance are not forfeited: on account deletion your remaining balance is paid out to your Stripe account (see Section 12 and the Terms of Service).

8.3 Finality

Forfeited Shares are permanently ineligible for payment and are not reconsidered, reinstated, or compensated. Technical forfeiture events (missing insights, early removal, lost Instagram access, token expiry, deletion) are not subject to dispute; Section 19 preserves EEA review rights for decisions we make.

9. Ratings, Reports, and Manual Review

9.1 Business Assessments

The business a Share promotes may, exactly once per Share and at any time, either rate the Share (a star rating) or report it (for example as not genuinely promotional, misleading, inappropriate, or in bad faith). Assessments cannot be changed once made. For platform-sponsored businesses, the Tagly team may perform the assessment instead.

9.2 Reports

A pending report pauses payment of the Share. Every report is manually reviewed by the Tagly team. If the report is upheld, the Share is forfeited in full and your quality rating is lowered (repeated upheld reports have escalating effect). If it is dismissed, the Share proceeds normally through reward calculation. Review outcomes are final, subject to Section 19; reporting alone never deletes a Share or removes your content from Instagram. Tagly bears no liability for review outcomes or for reports submitted in good faith.

9.3 Your Quality Rating

Your account carries an internal quality multiplier that influences future reward calculations within fixed bounds. It is adjusted by business ratings of your Shares, by rejections in review, and by upheld reports. You are notified in the app when an assessment changes it. It affects future rewards only, never a Share already finalized.

10. Fraud, Abuse, and Manipulation

You must not manipulate, inflate, falsify, or abuse the Monetization Program: no artificial or purchased engagement, bots, or engagement pods; no content created solely to trigger rewards without genuine promotion; no selecting businesses the content does not promote; no repeated low-effort posting to exploit calculations; no misrepresenting audience or reach; no circumventing frequency rules, eligibility checks, or enforcement.

Tagly identifies fraud and abuse through automated systems, manual review, business reports, and pattern analysis, and need not disclose detection methods. Where Tagly determines fraud or abuse has occurred, it may nullify affected rewards, forfeit unpaid rewards, suspend or terminate monetization access or the account, block withdrawals to the extent permitted, ban the connected Instagram account from the platform, refer the matter to third parties, and pursue legal remedies, without prior notice. Enforcement decisions are made at Tagly's reasonable discretion, and Tagly is not obligated to reverse past enforcement; Section 19 preserves EEA review rights.

11. Program Changes

The Monetization Program is dynamic. Tagly may modify, recalibrate, or replace reward algorithms, pricing, multipliers, eligibility thresholds, referral structures, and minimum or maximum amounts, and may restrict, suspend, or discontinue the Monetization Program in whole or part. Changes may take effect immediately and apply to Shares that have not yet received a Final Reward; already-finalized Final Rewards are not retroactively altered. Participation creates no vested rights and no expectation of continued earnings or continued program availability. Section 19.2 provides EEA Users with the notice and review protections of the Terms of Service.

12. Payouts, Withdrawals, and Stripe

12.1 How You Get Paid

Final Rewards are credited to your Tagly balance. You may withdraw your balance to your own Stripe account (Stripe Connect); Stripe then pays out to your bank according to its own schedule and requirements. All payouts run exclusively through Stripe; Tagly is not a bank, payment institution, or money transmitter, and once funds are transferred to your Stripe account Tagly cannot access or retrieve them. Your Tagly balance is a bookkeeping record of rewards credited to you: it is not a deposit or stored-value account, bears no interest, and is not insured.

12.2 Requirements and Limits

Withdrawals require a completed Stripe onboarding and any identity verification Stripe demands. The minimum withdrawal is USD 1.00 (Tagly may change this); withdrawals are made in USD. Tagly does not guarantee payout timing, processing speed, or the successful completion of any particular withdrawal attempt (transfers are processed with automated retries), and Stripe may impose its own minimums, fees, requirements, holds, or delays, which are outside Tagly's control. Accounts suspended for fraud, and banned accounts, cannot withdraw. On account deletion, your remaining balance is paid out to your Stripe account before the account is removed (deletion requires a payout account if you hold a balance).

12.3 No Payment Abuse

You may not initiate chargebacks or payment disputes against reward payouts. Payment-system abuse may result in suspension or termination.

13. Taxes

You are solely responsible for determining, reporting, and paying any taxes on rewards. Tagly does not provide tax advice and does not withhold or remit taxes unless legally required. Rewards may constitute taxable income in your jurisdiction; any tax reporting by Stripe is governed by Stripe's terms.

14. No Guarantee of Earnings

Tagly makes no representations or guarantees about the availability or frequency of monetization opportunities, the amount of any Estimated or Final Reward, the likelihood of payment, or the continuation of the Monetization Program. Illustrative figures in the app or on our websites are informational only. Rewards vary significantly and some Shares earn nothing.

15. Suspension and Termination of Monetization

Tagly may suspend or permanently terminate your access to the Monetization Program, with or without notice, for violations of these Monetization Terms or the Terms of Service, fraud or abuse, bad-faith Shares, legal or compliance risk, loss of required third-party access (Instagram, Stripe), or discontinuation of the program. During suspension or upon termination you cannot create new Shares, and Shares without a Final Reward may become forfeited. Rewards already credited to your balance remain withdrawable unless connected to fraud or required otherwise by law. Suspension of monetization access does not by itself suspend your Tagly account. Outside the EEA, Tagly is not required to provide a reason, offer an appeal, or reinstate monetization access once terminated; Section 19 provides EEA Users with reasons, notice, and review rights. Termination of your Tagly account automatically ends participation. The provisions of these Monetization Terms governing forfeiture, taxes, no guarantee of earnings, and the incorporated Terms of Service provisions survive suspension or termination of monetization access.

16. Relationship to the Terms of Service

These Monetization Terms form part of the Terms of Service; its provisions (including dispute resolution, disclaimers, limitation of liability, indemnification, and governing law, together with the EEA protections in its Section 16) apply fully to the Monetization Program. In case of conflict, these Monetization Terms govern monetization, rewards, payouts, forfeiture, and eligibility.

17. Changes to These Monetization Terms

Tagly may update these Monetization Terms. For material changes we provide notice in the app and/or by email, and the app may require you to re-accept before creating further Shares; in any case you accept the current version each time you create a Share. If you do not agree with an updated version, stop creating Shares. EEA notice rights are preserved (Section 19.2). These Monetization Terms are drafted in English; translations are provided for convenience only, and the English version prevails in case of any discrepancy.

19. Additional Terms for the European Economic Area and the Czech Republic

Effective date of this Section: August 6, 2026

This Section applies to Users residing in the EEA, including the Czech Republic, supplements these Monetization Terms, and prevails in case of conflict. The EEA provisions of the Terms of Service (its Section 16) also apply to the Monetization Program.

19.1 Reasons and Human Review

If a Final Reward is set to zero or null, or a Share is declined or restricted, we provide a brief statement of reasons (in the app or on request), and you may request human review and contest the outcome at legal@taglyapp.com. Final Rewards are calculated by an automated process; you may request human review of automated outcomes. Provisions elsewhere describing decisions as "final" or "not subject to dispute" are without prejudice to this right and to your mandatory rights under applicable law, including Regulation (EU) 2022/2065.

19.2 Changes, Notice, and Liability

For EEA Users, the Terms of Service Section 16 (prior notice of material changes, statements of reasons for suspension or termination, statutory guarantees, and the disapplication of liability caps for consumers) applies to the Monetization Program. Provisions above permitting changes "without notice," decisions "without appeal," or excluding all liability do not apply to the extent they conflict with those mandatory protections.
